Important Notice — Please Read Carefully
THESE TERMS OF SERVICE CONTAIN IMPORTANT PROVISIONS INCLUDING A BINDING ARBITRATION CLAUSE, A CLASS ACTION WAIVER, LIMITATIONS OF LIABILITY, AND A RISK DISCLOSURE FOR DIGITAL ASSETS. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS.
1. Agreement & Parties
This is a legally binding agreement between you and SableAssent Coin Corporation (Wyoming LLC, SEC EDGAR CIK: 0002072362) governing the SAC1 Wallet mobile app, SAC1Gov.com, SAC1Pay.com, SableAssent.com, OurFrontDeskAI.com (the "Platform"). Use confirms agreement to these Terms and the Privacy Policy (https://sableassent.com/privacy-policy).
2. Eligibility
- Must be 18+
- Legal capacity to contract
- Not an OFAC SDN or sanctioned party
- Not located in or a citizen of Cuba, Iran, North Korea, Syria, Crimea/Donetsk/Luhansk
- Must complete KYC before transacting
SableAssent may refuse service for non-compliance.
3. The SAC1 Wallet — Non-Custodial Architecture
3.1 Non-Custodial Nature
- Private keys generated/stored on-device via Privy
- SableAssent never holds/accesses keys
- User solely responsible for credentials
- Blockchain transactions are final and irreversible
- Lost credentials cannot be recovered by SableAssent
3.2 Gnosis Safe Smart Contract Wallet
Includes Gnosis Safe smart contract wallet on Polygon (MATIC). Privy-generated EOA is authorized signer. Smart contract risks acknowledged.
3.3 Gas Fees & Network Costs
Network gas fees apply. SableAssent may sponsor some via dispatch wallet but can modify/discontinue sponsorship anytime. User responsible for fees.
4. SAC1 Token — Important Disclosures
SAC1 is a utility token issued under Regulation D, Rule 506(b) exemption from SEC registration. SAC1 is NOT registered as a security with the SEC and is NOT available for purchase through this Platform by the general public. Token functionality is limited to ecosystem utility: governance participation, remittance fee settlement, and ecosystem access. Nothing in this Platform constitutes an offer or solicitation to purchase securities.
- SAC1 is an ERC-20 utility token on Polygon (contract 0xedd666802003d178c416b4e5dd6a82f76c2c7554) and Ethereum (contract 0x379f4b204AF5Ef9d1CE6A5fea8fdcd45bce02Aa9)
- Fixed supply 600,000,000 SAC1, no burn mechanism, unsold tokens recirculated via Treasury Recirculation Mechanism (TRM)
- Price determined by open market, no guarantee of value
- Holding SAC1 confers no equity/dividends/ownership interest
5. KYC & Identity Verification
Required via Persona (withpersona.com) before transacting. User must provide accurate info, genuine ID documents, complete facial liveness, keep info updated. SableAssent may suspend/terminate for failed KYC, false info, or elevated risk flags.
6. Prohibited Activities
- No violating law
- No money laundering / terrorist financing / tax evasion
- No transacting on behalf of sanctioned parties
- No circumventing security
- No bots/scripts for unauthorized access
- No malware
- No impersonation
- No activity increasing regulatory/legal risk to SableAssent
- No illegal gambling / pyramid schemes
6.1 Prohibited Uses — Scraping, Reverse Engineering & Anti-Circumvention
- No scraping, crawling, or mirroring the Platform or any portion thereof using automated tools, bots, spiders, scrapers, or similar software, whether for data extraction, indexing, competitive analysis, or any other purpose, without prior written authorization from SableAssent.
- No reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, design, architecture, or internal logic of the Platform, its applications, APIs, or any underlying software.
- No copying, reproducing, or creating derivative works based on the Platform's design, code, content, branding, user interface, or any other proprietary element for the purpose of building a competing or derivative product.
- No circumventing, disabling, or otherwise interfering with rate limiting, bot-detection, anti-abuse, or access control mechanisms employed by the Platform, including but not limited to IP rotation, CAPTCHA bypass, token manipulation, or request flooding.
- No automated or scripted account creation, credential stuffing, brute-force attacks, or any attempt to overwhelm, disrupt, or degrade Platform infrastructure.
SableAssent actively monitors for unauthorized scraping, crawling, and abuse of its Platform. Violators will be subject to immediate account suspension, permanent IP blocking, and SableAssent reserves the right to pursue all available legal remedies including, without limitation, civil litigation, criminal prosecution, and DMCA takedown notices against infringing content hosted on third-party platforms. SableAssent may also report violations to relevant regulatory authorities and internet service providers.
Violations of any provision in this Section 6 may result in immediate suspension, law enforcement reporting, civil and criminal legal action, and DMCA takedown proceedings.
7. Governance Membership

8. Remittance Services
Stablecoin-intermediated (SAC1 → USDC → corridor partners). Transfer times vary by corridor, not guaranteed. Exchange rates from corridor partners, subject to fluctuation, indicative only.

Transaction limits vary by corridor/KYC tier/regulation. Sender responsible for recipient eligibility under destination-country law.
9. Fees
Fees disclosed before transaction completion. SableAssent may modify fee structure with 30 days' notice. Fees non-refundable except as required by law.
10. Intellectual Property
All Platform content/features/branding are exclusive property of SableAssent or licensors. Users receive a limited, non-exclusive, non-transferable, revocable license. No copying/modifying/distributing/reverse engineering without written consent.
11. Disclaimers & Risk Disclosures
Digital Asset Risk Disclosure
DIGITAL ASSETS ARE HIGHLY VOLATILE. THE VALUE OF SAC1 AND OTHER DIGITAL ASSETS MAY DECLINE RAPIDLY AND SIGNIFICANTLY. YOU MAY LOSE SOME OR ALL OF YOUR INVESTMENT. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. SABLEASSENT DOES NOT PROVIDE INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE MAKING ANY FINANCIAL DECISIONS.
Warranty Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SABLEASSENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO SABLEASSENT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
13. Indemnification
User indemnifies SableAssent and its officers/directors/employees/agents/licensors against claims from: use of Platform, violation of Terms, violation of law, infringement of third-party rights, or user-submitted content.
14. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
14.1 Mandatory Arbitration
Disputes resolved via binding individual arbitration administered by JAMS, in Wyoming, USA. Arbitrator's award is final and binding.
14.2 Class Action Waiver
YOU AND SABLEASSENT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14.3 Governing Law
Governed by Wyoming law. Non-arbitrable matters go to Wyoming courts.
14.4 Exceptions
Either party may seek injunctive relief in court to prevent irreparable harm pending arbitration.
15. Termination
SableAssent may suspend/terminate access anytime, with or without cause/notice, for Terms violations, compliance requirements, regulatory direction, or platform discontinuation. Sections 4, 10, 11, 12, 13, 14 survive termination.
16. Modifications
Terms may be modified anytime; 30+ days' notice of material changes via email/in-app/site notice. Continued use = acceptance. Current Terms always at https://sableassent.com/terms-of-service.
